Lightcapture Commercial Photography Service Agreement By retaining the digital imaging services of Lightcapture Commercial ('We', 'Our', ‘Photographer’) you agree to the following Service Agreement (‘Agreement’). This Agreement is a binding contract for photographer services, and is designed to facilitate the image creation process, as well as offer you, the client (‘You’, 'Your', ‘Licensee’) satisfactory service. To offer our services at a reasonable price, the images we create are not sold, they are licensed to you, for your marketing purposes. The fee quoted is specifically dependent on: 1. Full payment of the invoice 2. Limit the use of the images according to this licensing agreement 3. Protect the images with the proper copyright notification Limited Licensing Release This service agreement is a limited license photo release, where the images delivered are licensed to the Licensee for their specific purpose. * Residential and Commercial Real Estate • The photos may be used for the sole purpose of listing a property for rent or sale • The term of the listing may not to exceed 1 (one) year • Only the Licensee has permission to use the delivered images in electronic or printed form of advertisement for the promotion of the property • Builders, stagers, designers, or third parties (‘Third Party’) that wish to use our images must first obtain a Property Release from the property owner, and then contact the Photographer directly for licensing and fees • If your marketing practices require additional licenses for any and all digital and printed publications, please contact the Photographer directly, additional fees may apply • Images may not be transferred to another agent who takes over an expired or withdrawn listing * New Real Estate Construction • The photos may be used for the sole purpose of marketing Builder Services • If the Real Estate property is then placed for rent or sale, the photos may not be transferred to a Real Estate Listing agent without a Residential and Commercial Real Estate License Release from the Photographer • The term of the licensing may not to exceed 1 (one) year. Additional licensing terms are available, including lifetime licensing, and may be negotiated with the Photographer • Only the Licensee has permission to use the delivered images in electronic or printed form of advertisement for the promotion of their Builder Services * Interior Design • The photos may be used for the sole purpose of marketing Interior Design services • The term of the licensing may not to exceed 1 (one) year. Additional licensing terms are available, including lifetime licensing, and may be negotiated with the Photographer • Only the Licensee has permission to use the delivered images in electronic or printed form of advertisement and/or publishing for the promotion of their Interior Design Services * Architectural Design • The photos may be used for the sole purpose of marketing Architectural Design Services • If the Real Estate property is then placed for rent or sale, the photos may not be transferred to a Real Estate Listing agent without a Residential and Commercial Real Estate License Release from the Photographer • The term of the licensing may not exceed 1 (one) year. Additional licensing terms are available, including lifetime licensing, and may be negotiated with the Photographer • Only the Licensee has permission to use the delivered images in electronic or printed form of advertisement and/or publishing for the promotion of their Architectural Design Services * For all Limited Licensing Releases • To preserve image integrity, quality control and Licensee satisfaction, the images may not be altered once delivered. If additional editing is requested, the Photographer will implement the requested changes, and additional fees may apply • Image credit must be given to Lightcapture Commercial/Antonio Gruttadauria when used on any and all publications, web sites, and social media sites • Unauthorized use of images is a copyright violation, and will result in the termination of this Service Agreement Copyright Notice The Photographer is the copyright holder of the image, and Lightcapture Commercial/Antonio Gruttadauria retains all expressed and implied copyrights for all images covered by this Licensing Agreement: • Copyright may not be transferred to any other party • Additional licensing may be available for various image applications. Please contact the Photographer for more details. Photo Session Requests To ensure the photo session produces images of the highest quality and usability, it is highly recommended that the property be ready, or staged, prior to the scheduled session time. The Photographer is not responsible for any exterior or interior property preparation of any kind * Residential and Commercial Real Estate • Unless otherwise specified, the standard shoot will include the exterior and the interior of the property at various angles, to meet the count of finished photos for the service you selected • The property will be shot AS IS, and it is your responsibility to prepare the location to be aesthetically pleasing, and staged to your liking • We routinely manage multiple daily photo sessions, and offer all our clients punctual and timely service. We recommend our clients to be punctual for the photo sessions to avoid late fees, and potentially lead to the cancellation of the session • You or your representative must be present at the session scheduled time to provide payment, access to the property, and to discuss any special aesthetic requirements • The client will insure that the property is reasonably free of hazards to the Photographer’s safety • The client will insure that pets and animals on the property are properly restrained, and will not encroach on the Photographer’s activities and safety, or appear in the property images * New Real Estate Construction • Unless otherwise specified, the standard shoot will include the exterior and the interior of the building site at various angles, to meet the count of finished photos for the service you selected • The property will be shot AS IS, and it is your responsibility to prepare the location to be aesthetically pleasing, and free of debris or equipment to your liking • You or your representative must be present at the session scheduled time to provide payment, access to the building site, and to discuss any special aesthetic requirements • The client will insure that the property is reasonably free of hazards to the Photographer’s safety • The client will insure that pets and animals on the property are properly restrained, and will not encroach on the Photographer’s activities and safety, or appear in the property images * Interior Design • Unless otherwise specified, the standard shoot will include only the interior at various angles, to meet the count of finished photos for the service you selected • The interior will be shot AS IS, and it is your responsibility to prepare the location to be aesthetically pleasing, and staged to your liking • You or your representative must be present at the session scheduled time to provide payment, access to the location, and to discuss any special aesthetic requirements • The client will insure that the property is reasonably free of hazards to the Photographer’s safety • The client will insure that pets and animals on the property are properly restrained, and will not encroach on the Photographer’s activities and safety, or appear in the property images * Architectural Design • The standard shoot will include the interior and exterior at various angles, to meet the count of finished photos for the service you selected, and will meet your requirements defined in the pre-planning meeting • The interior will be shot AS IS, and it is your responsibility to prepare the location to be aesthetically pleasing, and staged to your liking • You or your representative must be present at the session scheduled time to provide payment, and access to the location • The client will insure that the property is reasonably free of hazards to the Photographer’s safety • The client will insure that pets and animals on the property are properly restrained, and will not encroach on the Photographer’s activities and safety, or appear in the property images Cancellations and Rescheduling * Occasionally, properties may not be ready for photo session as expected: • If, for any reason, you are unable to keep your scheduled appointment, please provide 24 hours notice. We will cancel or reschedule your session at a more appropriate time, at no additional cost, and open your time slot to other clients • If the session is cancelled on the same day as the photo shoot, you will be charged a $50 Cancellation Fee • If you or your representative arrive to the property 20 minutes or later than the scheduled session time, we reserve the right to cancel the session and charge a $100 Cancellation Fee • If you or your representative fail to show up for the scheduled photo shoot, we reserve the right to cancel the session and charge a $150 Cancellation Fee * Inclement weather may not be appropriate for the photo session to take place: • In the event of inclement weather on the day of the session, we usually concur to reschedule • You may also opt to proceed, regardless of weather conditions, however please be aware that the final photos will reflect the weather at the time of the shoot. Photos will not be as crisp, and the lighting will not showcase your location at its best • When severe weather conditions are expected, we will inform you 24 hrs in advance for rescheduling, to avoid damage to our equipment and potential safety issues traveling to your location All photo session rescheduling is subject to the Photographer’s availability Payment • When requesting a Service, your credit card information is required to place the session on our schedule, and it will only be used for any Cancellation Fees, unless otherwise specified by the client • All fees and expenses are due at the time of service by cash, company check, or credit card. No personal checks are accepted. • The images Limited Licensing Release is not authorized or valid until payment is received in full • When a licensing term expires, all licensed images must be removed from any electronic or printed form of advertisement and/or publication. Failure to cease and desist using the images will result in legal action to the full extent of Federal and State laws • When a licensing term expires, you may extend the original licensing term, or select another term, and pay the associated fee for that term. Failure to pay for the additional licensing will result in a copyright infringement, and you will be asked to remove the image from any electronic or printed form of advertisement.
